These Terms and Conditions (“Terms”) govern your access to and use of the TensileMill CNC online store and any purchase of consumables, replacement parts, accessories, and related stocked items offered through the store (collectively, “Products”). By visiting the store, placing an order, or purchasing any Product, you agree to be bound by these Terms.
For purposes of these Terms, “TensileMill CNC,” “we,” “us,” and “our” means TensileMill CNC, Inc.
1. Scope of Online Store
The online store is intended to sell consumables, spare parts, accessories, and other eligible stocked items. Capital equipment, custom systems, specimen preparation machines, testing machines, installation services, calibration services, training, and other major equipment or service packages are not sold through the online store unless expressly stated on a specific product page or written quotation. Such offline or quoted transactions may be governed by separate sales terms.
2. Eligibility and Authority
By placing an order, you represent and warrant that:
– you are at least the age of majority in your jurisdiction;
– the information you submit is accurate and complete;
– if you are purchasing on behalf of a company or organization, you have authority to bind that entity to these Terms; and
– you will use the Products only for lawful purposes and in accordance with applicable instructions, standards, and safety requirements.
3. Product Information and Compatibility
We strive to present accurate product descriptions, specifications, images, pricing, availability, and compatibility information. However, industrial parts and consumables may vary by machine model, revision, configuration, voltage, fixture setup, software version, region, or application. Product images are for illustration only and may not exactly match the delivered item.
You are responsible for confirming that a Product is compatible with your equipment and intended use before ordering. If you are uncertain, contact us before purchase. We are not responsible for losses arising from an order placed with incorrect model, serial number, specification, voltage, dimensions, or compatibility details supplied by the customer.
We reserve the right to correct typographical errors, technical mistakes, inaccurate specifications, pricing errors, or omissions at any time, including after an order is submitted.
4. Orders and Acceptance
All orders are subject to review and acceptance by us. Receipt of an order confirmation email does not constitute final acceptance of your order. An order is accepted only when we confirm shipment, issue a written acceptance, or otherwise begin performance.
We may refuse, limit, cancel, or hold any order in our sole discretion, including if:
– the Product is unavailable, discontinued, restricted, or incorrectly priced;
– we suspect fraud, unauthorized activity, export-control concerns, or misuse;
– required information is missing or cannot be verified;
– the order appears to be for resale without authorization; or
– shipment to the requested destination is impracticable or prohibited.
If we cancel an order after payment has been authorized or captured, we will issue a refund for the amount we determine is due.
5. Prices, Taxes, and Payment
All prices are shown in the currency displayed on the store and are subject to change without notice. Prices do not include taxes, duties, brokerage fees, customs charges, installation, calibration, commissioning, or similar charges unless expressly stated.
You agree to pay all amounts due in connection with your order, including applicable taxes, shipping charges, and handling charges shown at checkout or otherwise communicated before final payment. You are responsible for any sales tax, use tax, VAT, GST/HST, import duty, customs fee, or similar charge associated with your order, except to the extent we are required by law to collect and remit it.
We may use third-party payment processors. By submitting payment information, you authorize us and our payment processors to charge the full amount due using your selected payment method.
6. Shipping, Delivery, and Title
Shipping and delivery dates are estimates only unless we expressly commit otherwise in writing. Lead times may vary based on stock availability, supplier lead times, import processing, and carrier performance.
Unless otherwise required by law or agreed in writing:
– title to Products passes to you upon our delivery of the Products to the carrier; and
– risk of loss or damage passes to you upon delivery to the carrier.
You are responsible for providing a complete and accurate shipping address and for making arrangements to receive the shipment. Additional charges may apply for address corrections, redelivery, storage, expedited handling, or special routing.
7. Inspection; Damage; Shortage
You must inspect all Products promptly upon receipt. Any claim for visible shipping damage, shortage, wrong item, or missing package must be reported to us in writing within 5 business days after delivery. Claims should include the order number, a description of the issue, and supporting photographs where applicable.
Failure to provide timely notice may limit our ability to assist with a claim against the carrier or supplier.
8. Returns and Refunds
Returns, refunds, exchanges, and cancellations are governed by our Return Policy, which is incorporated into these Terms by reference. If there is a conflict between these Terms and the Return Policy regarding return procedures, the Return Policy will control for that issue.
9. Limited Warranty Disclaimer
Unless a specific written warranty is included with the Product or required by law, Products are supplied on an “as is” and “as available” basis. Any manufacturer warranty that applies to a Product is provided by the manufacturer and not by TensileMill CNC, unless we expressly state otherwise in writing.
Normal wear items, consumables, cutting tools, coatings, fixtures subject to wear, and Products damaged by misuse, improper installation, improper storage, abuse, accident, unauthorized modification, improper maintenance, or use outside intended conditions are not covered by any warranty from us.
To the fullest extent permitted by law, we disclaim all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, title, and any warranty arising from course of dealing, usage, or trade practice.
10. Technical Advice and Support
Any technical recommendations, application guidance, compatibility comments, or troubleshooting support that we provide is offered in good faith based on information available to us. You remain solely responsible for validating suitability for your own equipment, process, compliance obligations, and safety requirements.
11. Permitted Use and Safety
Products sold by the online store are intended for professional, industrial, laboratory, educational, or commercial use by properly trained personnel. You are responsible for:
– following all operating manuals, warnings, and applicable safety procedures;
– using appropriate personal protective equipment and safeguards;
– complying with all laws, regulations, standards, and workplace policies; and
– obtaining any required approvals, permits, or qualifications for use, resale, export, or installation.
You must not misuse the Products or use them in any manner that could create injury, property damage, regulatory non-compliance, or infringement of third-party rights.
12. Intellectual Property
All website content, product names, text, graphics, logos, software, page layouts, catalogs, downloads, and other materials made available through the store are owned by us or our licensors and are protected by applicable intellectual property laws. No right or license is granted except the limited right to access and use the website for legitimate business and purchasing purposes.
You may not copy, reproduce, republish, upload, transmit, distribute, modify, reverse engineer, scrape, or exploit any part of the website or its content without prior written consent, except as permitted by law.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to any order or Product will not exceed the amount actually paid to us for the specific Product giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
15. Indemnification
You agree to defend, indemnify, and hold harmless TensileMill CNC and its officers, directors, employees, agents, affiliates, contractors, and suppliers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
– your breach of these Terms;
– your misuse of the website or Products;
– your negligent acts or omissions;
– your violation of any law, regulation, or third-party right; or
– information or specifications that you provide to us.
16. Export and Sanctions Compliance
You may not purchase, receive, use, export, re-export, transfer, or resell Products in violation of any applicable export control, sanctions, customs, or trade law. You represent that you are not located in, organized under the laws of, or ordinarily resident in any prohibited jurisdiction, and are not listed on any applicable denied-party or restricted-party list.
17. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the website or placing an order, you acknowledge that we may process personal information in accordance with that Privacy Policy.
18. Third-Party Services and Links
The website may contain links to third-party sites, plug-ins, payment services, carriers, or software tools. We do not control and are not responsible for third-party content, services, availability, or privacy practices.
19. Changes to the Website or Terms
We may modify, suspend, or discontinue any part of the website, product offering, or these Terms at any time. Updated Terms become effective when posted to the website unless otherwise stated. Your continued use of the website after updated Terms are posted constitutes acceptance of the revised Terms.
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Nevada, USA, without regard to its conflict of law rules, except to the extent mandatory law in your jurisdiction requires otherwise.
Any dispute arising out of or relating to these Terms, the website, or the sale of Products shall be brought exclusively in the state or federal courts located in Nevada, USA, and each party consents to the personal jurisdiction and venue of those courts, except where applicable law prohibits such choice of forum.
21. General Provisions
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of that provision or of any other right. These Terms, together with any policies expressly incorporated by reference and any order-specific written agreement issued by us, constitute the entire agreement between you and us regarding the online store transaction covered by these Terms.
